| 30 August 2007 Axeon Holdings PLC acquires Ristma Group, creating a new leader in the battery systems industry In recent years, the Ristma Group has posted above-average growth, in the process becoming one of the leading systems suppliers of rechargeable and non-rechargeable battery packs on the European market. The acquisition by Axeon Holdings PLC will enable us to serve the market, with its steadily increasing demands on research, development and sales capabilities, even better by leveraging the synergies of these two enterprises. Our leadership role in Europe will be enhanced. Axeon Holdings PLC, headquartered in Scotland, develops and manufactures complex battery solutions for drives in the automotive industry and holds numerous patents for electronic lithium-ion management systems. The Ristma Group has over 30 years of experience with battery packs in the area of power tools, and has been a leading supplier in further markets such as medical systems, security, measurement technology and other industrial applications for the same length of time. Going forward, this merger will enable us to offer an even broader spectrum of the battery universe: research, development, battery and system tests as well as high-volume production of the developed products in the battery technologies most used today. The operational management organization of the Ristma Group will remain as before. Nothing will change for customers of EMB. The same contact persons will remain at their disposal, ensuring continuity.
